1. Introduction & Acceptance

This Vendor Seller Agreement ("Agreement") is a legally binding contract between you ("Vendor", "Seller", "You") and Reypub ("Platform", "We", "Us"). By registering as a vendor on Reypub, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Agreement.

2. Vendor Eligibility & Registration

• You must be at least 18 years of age and legally authorized to operate a business.
• You must provide accurate and complete information during registration, including legal business name, address, and contact information.
• Government-issued identification and business documentation may be required for verification.
• You must pass our identity verification process before activating your store.
• Providing false or misleading information will result in immediate account termination.

3. Commission Structure & Fees

Commission rates may vary based on category, volume, and promotional agreements. Custom rates may be negotiated for high-volume sellers.

4. Product Listing Requirements

• All product listings must be accurate, complete, and not misleading.
• Products must comply with all applicable local, national, and international laws.
• Counterfeit, illegal, or prohibited items are strictly forbidden.
• Product images must be clear, high-quality, and accurately represent the product.
• Pricing must be competitive and transparent, including all applicable taxes.
• All products undergo a review process before being published on the platform.

5. Order Fulfillment & Shipping

• Vendors must process and ship orders within 2 business days of receiving them.
• Accurate tracking information must be provided for all shipped orders.
• Vendors are responsible for proper packaging to prevent damage during transit.
• Orders not fulfilled within 5 business days may be automatically cancelled.
• Repeated late shipments may result in account suspension.

6. Returns & Refund Policy

Vendors must honor a minimum 7-day return policy for defective or significantly misrepresented products. Refunds must be processed within 5 business days of receiving the returned item. The platform reserves the right to issue refunds on behalf of the vendor in case of disputes.

7. Intellectual Property

Vendors warrant that they own or have proper licensing for all products, descriptions, and images listed. Any intellectual property violations will result in listing removal and potential account termination. The platform is not responsible for vendor IP violations.

8. Account Termination

Either party may terminate this agreement with 30 days written notice. The platform may immediately terminate for violations of this agreement. Upon termination, pending orders must be fulfilled and all outstanding balances will be settled within 30 days.

9. Limitation of Liability

Reypub acts as a marketplace facilitator and is not liable for disputes between vendors and customers beyond providing a dispute resolution framework. Maximum liability is limited to the commission fees received in the 12 months preceding the claim.
